4. Payments and Billing

4.1 Subscription Plans

CHAPA offers monthly and annual subscription plans. Pricing details are available on our website and may be updated from time to time with reasonable notice.

4.2 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Billing Cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled. You will be charged at the beginning of each billing period.

4.4 Refunds

We do not offer refunds except where required by law. For customers in the European Union, you have a 14-day cooling-off period from the date of purchase during which you may cancel and request a full refund.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Service until the end of the paid period.

4.6 Price Changes

We reserve the right to change our pricing with at least 30 days' notice. Price changes will not affect your current billing period and will apply to subsequent renewals.

5. Free Trial

We offer a 14-day free trial for new users. No credit card is required to start your trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

We reserve the right to modify or discontinue free trial offers at any time. Each user is limited to one free trial.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you upload to the Service, including brand information, deal data, and attachments ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely for the purpose of providing the Service to you.

6.2 Our Intellectual Property

The Service, including its software, design, text, graphics, and other content (excluding Your Content), is owned by SPR Software Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

6.3 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.

7. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that could harm the Service or other users. Prohibited activities include but are not limited to:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights of others
  • Uploading or transmitting viruses, malware, or other malicious code

  • Your Content does not violate any applicable laws
  • Your Content does not contain viruses or malicious code

We do not pre-screen or monitor Your Content but reserve the right to remove any content that violates these Terms or applicable law.

9. Termination

9.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings or by contacting us. Your access will continue until the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms or engage in conduct that we determine to be harmful to the Service, other users, or our business interests.

9.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will cease immediately
  • We may delete Your Content in accordance with our data retention policy
  • You remain liable for all charges incurred prior to termination
  • You may request a copy of Your Content within 30 days of termination

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Results

We do not guarantee that the Service will meet your requirements, be uninterrupted, secure, or error-free. You use the Service at your own risk.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPR SOFTWARE LTD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Any damages exceeding the amount you paid us in the 12 months preceding the claim

10.4 Essential Purpose

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SPR Software Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your Content or any content you upload
  • Your violation of any rights of another party

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, with venue in London.

If you are a consumer in the European Union, you may also have the right to bring proceedings in the courts of the EU member state where you reside.
